1. Acceptance of Terms

By downloading, installing, accessing, or using any application published by Basic Apps ("we," "us," or "our"), you ("you" or "User") confirm that you are at least 13 years of age, have read and understood these Terms of Use ("Terms"), and agree to be bound by them. If you are under the age of majority in your jurisdiction, you may use the Apps only with the involvement and consent of a parent or legal guardian. If you do not agree to these Terms, do not use our applications.

These Terms govern your use of all Basic Apps applications (collectively, the "Apps"), including:

3. Subscriptions and Billing

Certain features within our Apps require a paid subscription or one-time purchase. Current paid plans are as follows:

Basic Intake Pro includes a 7-day free trial with up to 15 AI assistant chats and 15 AI label scans. After the trial, Pro includes up to 30 AI chats and 15 AI label scans each month. A Review My Stack run counts as one AI chat; automatic background safety checks do not. Adding supplements by barcode is always free and unlimited.

Basic Bins is free to use for one location and up to fifty items, with QR labels and AI naming included at no cost. Basic Bins Premium lifts those limits and adds household sharing.

Drift Premium includes a 7-day free trial.

Ink Premium includes a 14-day free trial.

Basic Fidgit includes a 3-day free trial of the full fidget collection. The "Basic Fidgit Unlock All" purchase is a one-time, non-consumable purchase; it does not auto-renew and is not a subscription. The auto-renewal, billing-period, and trial-forfeiture terms below apply only to the subscription plans (Basic Checkbook, Basic Intake, Drift, Ink, and Basic Bins).

Basic Deck is also a one-time purchase and is sold directly from our website rather than through the App Store, so it is not managed through your Apple ID. Basic Deck includes a 14-day free trial; no email or account is required to start it. When you buy, payment is collected at checkout and your license key arrives by email. One license works on 2 Macs. To move your license to a different Mac, or for any help with a Basic Deck purchase, including refund requests, contact [email protected].

By subscribing, you agree to the following terms:

• Payment is charged to your Apple ID account at the time of purchase confirmation.
• All subscriptions auto-renew unless cancelled at least 24 hours before the end of the current billing period.
• You may cancel your subscription at any time via iPhone Settings → Apple ID → Subscriptions.
• Cancellation takes effect at the end of the current billing period. You retain access to subscription features until that date.
• Refunds are processed by Apple in accordance with Apple's refund policy. To request a refund, visit reportaproblem.apple.com.
• Any unused portion of a free trial is forfeited upon purchasing a subscription.

4. Health and Safety Notice

Drift includes visual stimulation effects such as moving images, flashing patterns, and light variations. If you have photosensitive epilepsy, migraines triggered by visual stimuli, or any similar condition, consult your doctor before using Drift.

Drift is designed for short decompression sessions. Do not use Drift while driving, operating machinery, or in any situation requiring your full attention.

5. AI Features (Basic Intake, Ink, and Basic Bins)

Basic Intake, Ink, and Basic Bins include AI-powered features powered by Anthropic's Claude API. By using these features, you acknowledge and agree to the following:

• Your messages, nutrient queries, supplement-label photos, a summary of your Apple Health data, values read from imported lab reports, your current supplement stack, and caregiver lists (Basic Intake), and your dictation transcripts and limited Today-page context such as list and note titles (Ink), and the single item photo you take when you use AI naming (Basic Bins), are transmitted through a Basic Apps-operated proxy to Anthropic's Claude API for processing in order to generate responses.
• AI output in Basic Intake is informational only and does not constitute medical advice.
• AI-structured notes in Ink may contain errors, omissions, or fabricated content; always review the output before relying on it.
• We are not responsible for the accuracy, completeness, or fitness for purpose of any AI-generated content.
• You should always use your own judgment and consult qualified professionals before acting on any AI-generated information.

5a. Voice Dictation (Ink)

Ink uses Apple's speech recognition (SFSpeechRecognizer) to convert your speech into text. By using voice dictation, you acknowledge and agree to the following:

• Audio captured by the microphone is converted to text by Apple's SFSpeechRecognizer, which may process it on-device or on Apple's servers under Apple's terms. Ink itself does not record, retain, or transmit your audio.
• The resulting transcript may optionally be sent to Anthropic's Claude API to be structured into notes, only when you invoke that feature.
• Speech recognition accuracy varies with accent, ambient noise, and microphone quality. We do not warrant a particular accuracy level.
• You are responsible for not dictating sensitive identifiers, account credentials, or third parties' personal information.

6. User Responsibilities

You agree to:

• Use the Apps only for lawful, personal purposes.
• Maintain the security of any passcodes and biometric authentication you configure (Basic Checkbook).
• Ensure the accuracy of all self-entered data.
• Own, or have the right to share, any content you add or share through the Apps (including shared lists in Ink and images you add in Basic Checkbook and Basic Intake), and take responsibility for that content.
• Use Drift in a safe environment where visual stimulation will not pose a risk.
• Not rely solely on suggestions provided by the Apps for health or financial decisions.

You agree NOT to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of any App.
• Use the Apps in any manner that could damage, disable, overburden, or impair them.
• Attempt unauthorized access to any part of our Apps, servers, or CloudKit databases.
• Circumvent subscription limits, trial restrictions, or any access controls.

7. Intellectual Property

All Apps, including their content, features, design, code, graphics, and audio content, are owned by Basic Apps and are protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Apps for personal, non-commercial purposes in accordance with these Terms.

Fonts, audio content, and other licensed assets included in the Apps are licensed for in-app use only and may not be extracted, copied, or redistributed.

You keep ownership of the content you create. When you invite others to a shared list in Ink, you give us permission to store and transmit that content through Apple's CloudKit solely to provide the sharing feature.

8. Disclaimer of Warranties

THE APPS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE APPS WILL OPERATE ERROR-FREE OR WITHOUT INTERRUPTION, THAT DATA WILL BE PRESERVED WITHOUT LOSS, THAT AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE, OR THAT WELLNESS FEATURES WILL PRODUCE ANY PARTICULAR OUTCOME.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BASIC APPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of data or corruption of records
• Loss of profits or revenue
• Financial losses arising from use of or reliance on Basic Checkbook
• Harm resulting from reliance on AI-generated supplement suggestions in Basic Intake
• Wellness outcomes or lack thereof from use of Drift or Basic Fidgit

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APPS EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Basic Apps from any claim, demand, loss, or damage, including reasonable legal fees, arising out of content you upload or share through the Apps, your misuse of the Apps, or your violation of these Terms or of any law or the rights of a third party.

11. Termination

We reserve the right to terminate or suspend your access to any or all of the Apps at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, all rights granted to you under these Terms cease immediately.

12. Dispute Resolution and Arbitration

Please read this section carefully. It affects how disputes between you and Basic Apps are resolved and limits your ability to bring or participate in a class action.

Informal resolution first. Most concerns can be resolved quickly. Before starting arbitration, you agree to email us at [email protected] and give us 60 days to try to resolve the matter informally.

Agreement to arbitrate. If we cannot resolve a dispute informally, you and Basic Apps agree that any dispute arising out of or in connection with these Terms or your use of the Apps will be finally settled by binding arbitration on an individual basis, rather than in court, in accordance with the following standard clause:

"All disputes arising out of or in connection with the present contract shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules."

For the purpose of the clause above, "the present contract" means these Terms. The seat of arbitration will be Pennsylvania, USA, the arbitration may be conducted by videoconference, and it will be conducted in the English language. To keep arbitration affordable for individual consumer claims, Basic Apps will pay the ICC administrative fees and arbitrator costs for any individual claim, and your out-of-pocket forum cost will not exceed the filing fee for an equivalent small-claims action.

Class-action and jury-trial waiver. You and Basic Apps agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims. You and Basic Apps waive any right to a jury trial.

Small-claims exception. Either party may instead bring an eligible individual claim in a small-claims court in the state or county where you reside.

30-day opt-out. You may opt out of this arbitration agreement by emailing [email protected] with your name and a clear statement that you opt out, within 30 days of first accepting these Terms or, if you were already using the Apps before July 8, 2026, within 30 days of that date. If you opt out, the agreement to arbitrate no longer applies to you, but the class-action and jury-trial waivers above continue to apply to any resulting court proceeding.

If any portion of this section is found unenforceable, the remainder will stay in effect, except that if the class-action waiver is found unenforceable as to a particular claim, that claim, and only that claim, will be resolved in court as provided in the Governing Law section below.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. For any dispute that is not subject to arbitration under the section above, including any claim that proceeds in court because the class-action waiver is found unenforceable, you and Basic Apps agree to the exclusive jurisdiction of the state and federal courts located in Pennsylvania. Small-claims matters may instead be brought as described in the section above.

14. Apple App Store

The following applies when you obtain an App through the Apple App Store:

• These Terms are between you and Basic Apps only, not with Apple. Apple is not responsible for the Apps or their content.
• Your license to use each App is limited to use on Apple-branded devices that you own or control, as permitted by the App Store Terms of Service.
• Basic Apps, not Apple, is solely responsible for the Apps and for providing any maintenance and support, and for addressing any product warranties and any claim that an App infringes another party's rights.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
• You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties.

15. General

These Terms, together with our Privacy Policy, are the entire agreement between you and Basic Apps regarding the Apps. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for any delay or failure to perform caused by events beyond our reasonable control.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will indicate so by updating the "Last updated" date at the top of this page. Your continued use of the Apps following any changes constitutes your acceptance of the revised Terms.
